This master’s degree dissertation aims to investigate the methods used to determine the amounts owned by quota holders that withdraw rom in private limited companies, by the analysis of judicial precedents, notably to understand the scope of the parties’ freedom of contract, which is established, among other provisions, in Article 1.031 of Brazilian Civil Code. For that purpose, I analyzed the decisions of the Superior Court of Justice (STJ), available at its website, as well as decisions of the São Paulo State Court of Justice (TJSP), due to the state’s economic relevance and the existence of chambers specialized in corporate law, in the period between 2010 and 2014. I created a typology of questions that emerge in connection with clause determining the amounts due e.g., differences between the form of calculation and payment; and equally the rationale used by the courts to invalidate or enforce specific clauses. In the second chapter, there is a critical analysis of the legal arguments used in support of the enforcement of such clauses, namely: objective good faith, social function and items present in American literature over the 'capital lock-in' theory. Besides that, I emphasized the improper use, in our view, of 'unjust enrichment', as well as the convenience of making a weighted application of principles, especially when they contradict a positively valued legal rule. Finally, before concluding, I enplaned the method use by caselaw, which is called, in this dissertation, total simulated dissolution. |
