Avaliação de desempenho da governança corporativa: proposição de um modelo voltado às sociedades de economia mista e empresas públicas

Resumo: Corporate governance (CG) has been widely used in the corporate world, and in Brazil it is on the rise, mainly in the management of Public Companies and Mixed Economy Societies, with the purpose of assisting decision making and administrative balance of public accounts. The objective of the present research is to propose a model of performance evaluation of corporate governance for Mixed Economy Companies and Public Companies according to the Law No. 13,303/2016 and best practices. In order to achieve the general objective, the following specific objectives were defined: to identify the best practices of corporate governance presented in the literature; to identify the requirements of Law No. 13,303/2016, in relation to corporate governance; to structure the criteria for the performance evaluation of the corporate governance system; to develop the structure of the performance evaluation model in accordance with the identified criteria; and, to measure the performance of corporate governance in a Mixed Economy Society. The methodological procedures adopted for the elaboration of the present research are: from the point of view of its nature, applied research; from the point of view of the objectives, descriptive, regarding the technical procedures is a bibliographical research, with elements of case study and, as to the form of approach, it is a quantitative and qualitative research. The CG's performance evaluation model was applied to a mixed-economy company and indicated the degree to which it finds itself, allowing for efforts to be applied to the points in need of attention. Based on the presented values, it was concluded that among the 21 attributes (themes or areas of concentration), the organization obtained the best Corporate Governance Index (CGI) in Social status (0.667), Conflict of interest (0.600) and Administrators (0.556) and worst in Audit, Annual Corporate Governance Charter, Internal Audit Committee, Risk Management and Internal Control, Creation Authorization Law, Compliance Program and Secretariat of Corporate Governance, all with (0,000), that is, low performance in legal and best practice requirements in relation to CG. From the point of view of the CG’s principles, Accountability and Corporate Responsibility are the organization's greatest challenges when presenting, respectively, CGI of 0.049 and 0.0224. It is recommended the timely analysis of the performance of the attributes through the calculations presented, because this way it is possible to verify the relevance of the performance obtained in each of the attributes by analyzing the criteria that compose them and the evaluation received in each one of these criteria.
