This dissertation proposes a comparative analysis of the institute of disregard of legal personality in Brazil and Portugal. Initially, the research addressed legal entities, theories about their legal nature, and the main types of companies, focusing on the limitation of shareholders' liability for company debts. Subsequently, the study delved into the origins of the institute of disregard of legal entity, proceeding to the peculiarities of each legal system, focusing on the requirements demanded by each country for its implementation.
