Dissolution of consortium of companies is an issue that does not find an explicit solution in Brazilian legislation. There are no solutions established in main legal regime, applicable to consortium relations, provided for articles 278 and 279 of Law No. 6.404/1976. It is also discussed whether consortium is, for example, a corporate type, a group of companies or another type of contract, subject (or not) to a general rule, established by law. Furthermore, incompletes contracts are a reality for any party, including those who wish to contract a consortium. Starting from the premise that termination of a consortium relationship is, in fact, a problem that is not resolved through main legal regime defined in Law No. 6.404/1976, nor, in certain cases, by respective contract, this paper aims to analyze and identify (including through empirical research) which dissolution rules are compatible with consortium, considering its characteristics and peculiarities |
