Resumo: The thesis addresses the duties and responsibilities of directors of companies in judicial recovery concerning their creditors submitted to the recovery process. The duties and responsibilities of administrators in relation to the company are well-studied subjects in corporate law, but less explored in the context of judicial recovery, where administrators remain in control of the company. The research aims to understand whether the duties and responsibilities of administrators change when the company undergoes judicial recovery and what the implications of this change are. The topic is discussed in foreign jurisdictions such as the USA, England, Canada and Portugal. In this thesis, it was concluded that administrators do not owe a duty of loyalty to creditors, but there is a change in the content of the duty of care, so that the interests of creditors are effectively taken into account. The research integrates aspects of corporate law, judicial reorganization, and civil liability to provide a comprehensive understanding of the issue
