Resumo: The present paper seeks to trace elements of comparison between sociedade empresária and sociedade simples. These are the kinds of corporations set up by the 2002 Brazil’s Civil Code (Act n. 10406 from January 10, 2002), whose text opened debates among scholars about the differentiation between both kinds. The firm is examined from the evolution of its legal concept. Nevertheless, given the comprehensiveness and importance of the effects of the firm in the world, it is also examined from the viewpoint of other fields of human knowledge, namely Economics, Administration, and Sociology. The firm, therefore, is studied as a group of contracts which connect several interests, such as those of partners or stockholders, suppliers, and costumers. Based on the information amassed in the paper, a legal concept of the firm, which takes into account its legal and economic effects, is presented. Afterwards, an analysis of a company’s main contract is made, and the comparative traces between those kinds of corporations are shown. Finally, the absence of reasons to strongly justify the existence of those two kinds of corporations in the Brazilian legal system is verified.
