Resumo: The business incubators bring important contributions to the business development process, stimulating entrepreneurs in setting up businesses. The corporate governance emerges in the context of incubators as a study of good practices, describing models of interaction between stakeholders, using knowledge and innovation to improve learning and performance of organizations. This thesis had the aim to analyze the relationship between the governance model of Brazilian technology based incubators and their performance. The theoretical framework is based on the constructs: business incubators, corporate governance and performance evaluation. According to its aim, the study is classified as an applied and descriptive-exploratory research with a multi-method approach (quantitative and qualitative). The research was divided into two stages: first a quantitative step, with a survey research applied to the managers of incubators in Brazil. A sample of 68 technology based incubators was obtained. In the second stage, a qualitative research was carried out, through documentary analysis and semi-structured interview with the managers of the Brazilian incubators. Four managers were investigated in the interview stage. For data analysis, the descriptive statistics, correlation analysis and Kruskal-Wallis test were used. The results confirmed the main hypothesis of this research that there is a positive relationship between the governance model and performance. Regarding the intervening variables, such as binding and actuation time, the study revealed that these variables do not influence the relationship between the governance model and performance. Through the research results it was possible to establish a panorama of the Brazilian technological incubators and, thus, to propose actions to improve their performance.
