During the current decade, scandals involving major multinational corporations, analyzable in light of the agency theory, reinforce the need to prioritize business ethics. Convergent with the ethical goals, the business also has a set of principles, processes and practices known as Corporate Governance. Thus, the combination of ethics and corporate governance can be a decisive factor for business success. As guiding channels, Codes of Conduct or Codes of Ethics expose the moral and ethical behaviors desirable. This research investigated the level of adherence to the recommendations of the Brazilian Institute of Corporate Governance (IBGC) by companies listed on BM&FBovespa to prepare a code of business conduct. As hypotheses, it was assumed that the different segments of the BM&FBovespa (NDGC) - New Market (NM), Level 2 (L2) and Level 1 (N1) - would show a level of adherence higher than the Traditional Bovespa segment (TB) and, likewise, the regulated sectors would show a level of adherence higher than the non-regulated sectors. The typology of the research is descriptive regarding its finality and quantitative in respect to its nature, adopting the bibliographic and documental procedures. The data collection of the companies codes was performed by accessing the institutional websites. It was verified that is still low the percentage of companies listed on BM&FBovespa that disseminate, through the Internet, their codes of conduct / ethics, since in the universe of 419 firms, only 166 (39.61%) do so. Regarding the level of adherence to the recommendations of IBGC (2009) on topics that should compose the code of conduct/ethics of the organizations, the overall result showed an adherence percentage of 52.24%. Statistical analysis, through the average tests, showed a higher level of adherence to the recommendations of IBGC for the NM segment compared to the N1 segment. Tests of means among other segments were statistically equivalent and didn’t confirm this way, in the whole, the assumptions that the different segments of governance of BM&FBovespa would show a greater level of adherence to best practices by IBGC compared with segments with lower requirement. Through the Correspondence Analysis (ANACOR), it was found that the sector "public utility" had the highest level of adherence to the recommendations of IBGC and that "banks and other" got the lowest grade, partially confirming the hypothesis that regulated sectors would show a higher level of adherence to the IBGC recommendations compared to non-regulated sectors. Still, through the "ANACOR”, it was found that the TB was the segment that showed the highest level of adherence to the recommendations of IBGC and the N1 had the lowest level, not confirming the hypothesis that the NDGC segments would show better results than the TB segment. |
