Resumo: With the Law nº 13.303/16, known as ''Lei das Estatais” (Law of State-run Companies), the debate regarding the state-run companies and its two widely disseminated and studied species has progressed due to the innovations brought by this new legislation in comparison to the Decree-Law no 200/67, which used to set their legal regime as well as the relationship with suppliers, staff members and their creator entity. The ''Law of State-run Companies’’ maintained the legal regime of Private Law as the essence of the legal regime of the companies under its regulation and innovated, among other matters, about the legal framework of the contracts signed by state-run companies as well as in the establishment of a homogeneous legal regime extended to both mixed-capital companies and public companies, highlighting the attribution of greater autonomy and flexibility to their directors and managers. Considering this flexibility, this study investigates the expansion of the administrative discretion related to corporate governance, social function and the planning activity represented by the business plan and the long-term strategy. Thus, this dissertation intends to verify and measure the administrative discretion in a Private Law context directed to public purposes guided by the principles of Public Administration, under the perspective of the discretionary competences extracted from the Law of State-run Companies
