Este é um dos meios mais comuns para obter ilicitamente os segredos comerciais, através de empregar o (ex)trabalhador do concorrente. Atualmente, os segredos comerciais são muito valorizados e são um dos bens mais valiosos de empreendedor, pois, permitem importante vantagens competitivas no mercado cada vez mais global e mais uniforme. Os segredos comerciais são a moeda de troca da economia do conhecimento e proporcionam uma vantagem competitiva, são um fator determinante no que diz respeito à competitividade, ao mesmo tempo são intangíveis e incorpóreos e podem ser facilmente copiados, o que os torna extremamente vulneráveis. Por outro lado, o seu desempenho relaciona-se com a inovação no mercado e, portanto, o seu retorno do investimento é o motivo subjacente à investigação e ao desenvolvimento empresariais. Durante a execução do contrato de trabalho, o trabalhador poderia ter o acesso aos segredos comerciais, e o empregador pode prevenir a concorrência diferencial no futuro através de celebração de pacto de não concorrência. De tal modo que os trabalhadores são os recursos humanos e os titulares de direitos fundamentais, pelo que esta questão está no cruzamento de vários ramos do Direito. Nesse trabalho propõe-se analisar as questões de proteção de segredos comerciais suscitadas pelo âmbito laboral no ordenamento jurídico português. E avaliando estas situações na perspetiva de Propriedade Industrial.The present dissertation is dedicated to the study of protection of trade secrets in case of breach of the non-competition agreement by the former employee. Currently, trade secrets are the most valued and represent undertakings’ most valuable assets, because the market is now even more global and uniform, so this secrets allow a competitive advantage. The trade secrets are the currency of the knowledge economy and often provide a significant competitive advantage in the market place, they are a determining factor as regards their competitiveness. At the same time, they are intangible and incorporeal and can be easily copied, which makes them extremely vulnerable. Further, the importance of protecting trade secrets is related to market innovation, and its return on investment is the underlying motive for business research and development. During the period of the employment, the employees who have access to the trade secrets of the employer, a contractual way is a restrictive covenant to prevent them from working for competitors and prevent a misappropriation of trade secrets by former employees. This study proposes the issues of protection of trade secrets in the Portuguese legal system, evaluating these situations in the perspective of unfair competition. And try to find the way to make the restrictive covenants being effective under Industrial Property Law and thus safeguarding the trade secrets.
